Apex Lifestyle Club
Partner Terms & Conditions
Last Updated: September 2026
These Partner Terms & Conditions ("Terms") govern participation in the Apex Lifestyle Club Partner Programme, operated by Apex Lifestyle Group Limited ("Apex", "we", "our" or "us").
These Terms apply where a business agrees to participate as an Apex Lifestyle Club partner. Any specific benefit, commercial arrangement or additional terms agreed between Apex and a partner in writing will form part of the partnership arrangement.
1. About Apex Lifestyle Club
Apex Lifestyle Club is a lifestyle membership programme connecting members with selected businesses across areas including dining, travel, leisure, fitness, wellbeing, retail, lifestyle and experiences.
Through the Partner Programme, participating businesses may provide exclusive benefits, offers or experiences to eligible Apex members.
2. Becoming an Apex Partner
Potential partnerships are reviewed individually and acceptance into the Apex Partner Programme is at Apex's discretion.
Submitting an enquiry, application or proposal does not guarantee acceptance.
Where a partnership is agreed, Apex and the partner will confirm the applicable member benefit and any important conditions, redemption requirements or additional arrangements in writing.
Email confirmation is sufficient unless the parties agree that a separate written agreement is required.
3. Nature of the Partnership
Unless otherwise agreed in writing:
participation in the Apex Partner Programme is non exclusive;
no minimum partnership term applies;
no joining or participation fee is payable;
neither party guarantees any minimum level of sales, bookings, referrals, exposure or other commercial results; and
the partnership does not create an employment relationship, agency, joint venture or legal partnership between the parties.
Neither party has authority to enter into agreements or make commitments on behalf of the other.
4. Partner Promotion
Apex may provide partners with promotional opportunities including:
inclusion within the Apex member portal;
promotion on the Apex website;
social media content;
newsletter inclusion;
marketing campaigns;
member referrals;
collaborative promotional opportunities; and
invitations to relevant Apex events or experiences where applicable.
The nature, timing and frequency of promotion are at Apex's discretion unless specific promotional activity has been agreed separately in writing.
Apex does not guarantee any particular level of exposure, engagement, referrals, sales or other commercial results.
5. Partner Responsibilities
Partners agree to:
honour the member benefit agreed with Apex in accordance with its applicable terms;
treat Apex members professionally and fairly;
make relevant staff aware of the Apex benefit and redemption process where reasonably necessary;
provide Apex with accurate information about the benefit;
notify Apex within a reasonable timeframe of material changes affecting the benefit;
maintain appropriate licences, permissions and insurance required for their business; and
operate in accordance with applicable laws and regulations.
Partners remain responsible for ensuring that any terms, exclusions or restrictions attached to their benefit are clear and lawful.
6. Member Benefits
The partner and Apex will agree the member benefit and relevant redemption arrangements in writing.
The agreed arrangements may include:
the benefit or offer;
participating locations;
eligibility;
exclusions;
availability;
booking requirements;
redemption methods;
expiry dates; and
other applicable conditions.
Unless otherwise agreed in writing, the partner is responsible for the cost of providing or honouring its agreed member benefit and Apex is not responsible for reimbursing the partner for discounts, complimentary items, services or other benefits redeemed by members.
Partners may request reasonable amendments to, or withdrawal of, their benefit by providing Apex with reasonable notice wherever practicable.
Where circumstances require an urgent change, the partner should notify Apex as soon as reasonably possible.
Apex will aim to update affected member information within a reasonable timeframe after receiving notification.
7. Member Verification
Partners may require reasonable evidence of an active Apex membership before providing a member benefit.
This may include presentation of a valid physical or digital Apex Membership Card or another verification method agreed with Apex.
Membership cards are personal to the registered member and should not be accepted where the partner reasonably believes they are being fraudulently used or transferred.
Partners should contact Apex if they have reasonable concerns regarding misuse of an Apex membership or benefit.
8. Marketing and Promotional Materials
Apex may create or provide materials relating to the partnership, including:
digital marketing assets;
website listings;
social media content;
partner graphics;
window stickers; and
other promotional materials.
Partners are under no obligation to display physical promotional materials unless otherwise agreed.
Where reasonably appropriate, promotional material substantially featuring a partner's branding may be shared with the partner for approval before publication.
Each party is responsible for ensuring that claims it makes in its own marketing are accurate and comply with applicable advertising and consumer protection requirements.
9. Branding and Intellectual Property
Each party retains ownership of its own business names, logos, trademarks, designs, marketing materials and other intellectual property.
During the partnership, each party grants the other a limited, non exclusive, revocable and royalty free permission to use approved names, logos and branding solely for the purpose of identifying and promoting the partnership.
Neither party may materially alter the other's branding or use it in a misleading, unlawful or inappropriate way.
Any goodwill arising from the use of a party's branding remains with that party.
Permission to use branding ends when the partnership ends, subject to historic materials as described in Section 15.
10. Website and Social Media
For the duration of the partnership, Apex may:
display the partner's business name and approved logo;
describe the agreed member benefit;
identify the business as an Apex partner;
link to the partner's official website or social media channels; and
publish appropriate content relating to the partnership.
Partners may request reasonable corrections to inaccurate information at any time.
11. Non Exclusivity
Unless otherwise agreed in writing, Apex partnerships are non exclusive.
Partners remain free to participate in other membership programmes, loyalty schemes, promotional campaigns and commercial arrangements.
Apex remains free to partner with other businesses, including businesses operating within the same or similar sectors.
12. Fees and Commercial Arrangements
Unless otherwise agreed in writing, participation in the Apex Partner Programme is free of charge.
Apex may offer optional paid promotional, advertising or enhanced partnership opportunities in the future. Participation in any such opportunity will be voluntary and subject to separate agreement.
Any commission, referral fee, revenue share, sponsorship, paid campaign or other commercial arrangement must be agreed separately in writing before it applies.
13. Data Protection
Each party is responsible for complying with applicable data protection and privacy laws in relation to personal information it processes.
Unless separately agreed, partners should not receive access to Apex member personal information merely by participating in the Partner Programme.
Where a partnership requires personal information to be shared between Apex and a partner, the parties will agree appropriate arrangements before such sharing takes place.
Each party remains responsible for personal information it collects directly from individuals through its own systems or services.
14. Responsibility and Liability
Partners remain responsible for the goods, services and experiences they provide, including their:
quality and fulfilment;
pricing;
customer service;
health and safety;
food safety where applicable;
licences and regulatory requirements;
insurance; and
compliance with applicable law.
Unless otherwise agreed, any contract for goods or services purchased or booked by an Apex member directly with a partner is between the member and that partner.
Apex is not responsible for the acts or omissions of independent partner businesses or for goods and services supplied by them.
Neither party excludes or limits liability where it would be unlawful to do so, including liability for fraud or fraudulent misrepresentation, or any other liability that cannot legally be excluded or limited.
15. Ending the Partnership
Unless otherwise agreed in writing, either party may end the partnership at any time by giving written notice to the other.
Apex may suspend or end a partnership immediately where reasonably necessary, including where:
there is suspected fraud or unlawful activity;
the agreed member benefit is repeatedly not honoured;
there is serious misconduct;
continued association could reasonably cause significant harm to Apex, its members or its reputation; or
the partner materially breaches these Terms.
Following the end of a partnership:
Apex will remove the partner from active partner listings and future promotional activity within a reasonable timeframe;
the partner must stop representing itself as a current Apex partner;
each party should stop using the other's branding for new promotional activity; and
historic content already published, including social media posts, newsletters or archived materials, may remain available where removal is not reasonably practicable or necessary.
Any rights or obligations which by their nature are intended to continue after termination will remain in effect.
16. Confidentiality
Each party agrees to keep confidential any non public commercial, financial, technical or other confidential information received from the other in connection with the partnership.
Confidential information may be disclosed where:
the other party has given permission;
disclosure is reasonably required to professional advisers who are subject to confidentiality obligations; or
disclosure is required by law or a competent authority.
This section does not apply to information that is already publicly available other than through a breach of confidentiality.
17. Changes to These Terms
Apex may update these Terms from time to time to reflect changes to the Partner Programme, our business operations or applicable law.
Where a change materially affects an existing partnership, Apex will provide reasonable notice of the change where appropriate.
Material changes will not override specific commercial or benefit arrangements separately agreed in writing unless both parties agree otherwise.
The latest version of these Terms will be available on the Apex Lifestyle Club website.
18. Governing Law and Jurisdiction
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over disputes arising in connection with these Terms, unless the parties have agreed otherwise in writing.
